1. Introduction and Acceptance
These Terms and Conditions (“Terms”) govern your access to and use of the website [www.highknit.com], the HighKnit mobile application, and any related services, features, content, or products made available by HighKnit Apparels Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at [Full registered address] (“HighKnit”, “Company”, “we”, “us”, or “our”) (collectively, the “Platform”).
By accessing, browsing, registering on, or placing an order through the Platform, you agree to be bound by these Terms, our Privacy Policy, Refund and Cancellation Policy, and Shipping Policy, each of which is incorporated herein by reference. If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.
This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder, and does not require any physical or digital signature.
2. Eligibility
You represent that you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you are below 18 years of age, you may use the Platform only under the supervision and with the consent of a parent or lawful guardian, who accepts these Terms on your behalf. HighKnit reserves the right to refuse service, terminate accounts, or cancel orders at its discretion where eligibility requirements are not met.
3. Account Registration and Security
3.1 You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 You are solely responsible for maintaining the confidentiality of your account credentials, OTPs, and passwords, and for all activities that occur under your account.
3.3 You must notify us immediately of any unauthorised use of your account. HighKnit shall not be liable for any loss arising from your failure to safeguard your credentials.
3.4 HighKnit may suspend or terminate your account for breach of these Terms, suspected fraud, abusive return behaviour, or misuse of the Platform.
4. Products, Descriptions, and Availability
4.1 HighKnit sells apparel, knitwear, and related fashion products. We endeavour to describe products as accurately as possible; however, we do not warrant that product descriptions, colours, sizing charts, images, or other content are error-free, complete, or current.
4.2 Product colours may vary due to photography, lighting, and display settings on your device.
4.3 All products are subject to availability. HighKnit reserves the right to limit quantities, discontinue products, or cancel orders where stock is unavailable.
5. Pricing, Taxes, and Payment
5.1 All prices displayed on the Platform are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST), unless otherwise stated. Shipping charges, if any, are displayed separately at checkout.
5.2 HighKnit reserves the right to modify prices at any time without prior notice. The price applicable to your order shall be the price displayed at the time the order is successfully placed and payment is confirmed.
5.3 In the event of a manifest pricing error, typographical error, or technical malfunction resulting in an incorrect price, HighKnit reserves the right to cancel the affected order and refund any amount paid, without further liability.
5.4 Payment Methods. Payments may be made through the payment methods made available at checkout, which may include credit cards, debit cards, net banking, UPI, wallets, EMI options, buy-now-pay-later services, and cash on delivery (where available).
5.5 Payment Gateway. All online payments are processed through third-party payment gateways and payment aggregators authorised by the Reserve Bank of India. By making a payment, you agree to comply with the terms and conditions of the relevant payment gateway. HighKnit does not store your complete card number, CVV, PIN, or net-banking credentials.
5.6 Transaction Failures. HighKnit shall not be liable for any loss or damage arising from payment failures, declined transactions, bank or gateway downtime, network issues, or incorrect information entered by you. Where an amount is debited but the order is not confirmed, the amount will ordinarily be reversed by your bank or the payment gateway within the timelines prescribed by the Reserve Bank of India. You may contact us with the transaction reference for assistance.
5.7 Authorisation. You represent that any payment instrument used by you is lawfully owned or authorised for use by you. HighKnit reserves the right to seek additional verification, hold, or cancel any order where a transaction is suspected to be fraudulent, unauthorised, or in breach of applicable law.
5.8 Chargebacks. In the event of a chargeback or payment dispute raised by you with your bank or card network, HighKnit reserves the right to furnish transaction, delivery, and communication records to the bank, card network, or payment aggregator to contest the dispute, and to suspend your account pending resolution.
5.9 Cash on Delivery (COD). Where COD is offered, it may be subject to a nominal handling fee, order value limits, and pincode serviceability. Repeated refusal of COD orders may result in COD being disabled for your account.
6. Order Acceptance and Contract Formation
6.1 Your placement of an order constitutes an offer to purchase. All orders are subject to acceptance by HighKnit.
6.2 An order confirmation email or message acknowledges receipt of your order but does not constitute acceptance. The contract of sale is concluded only upon dispatch of the products.
6.3 HighKnit reserves the right to reject or cancel any order, in whole or in part, for reasons including unavailability of stock, pricing errors, suspected fraud, incorrect or incomplete address details, non-serviceable pincodes, bulk or reseller-like ordering patterns, or breach of these Terms. Any amount already paid for a cancelled order shall be refunded in accordance with the Refund and Cancellation Policy.
7. Promotions, Coupons, and Offers
7.1 Discount codes, coupons, promotional offers, cashback, referral benefits, wallet credits, and loyalty rewards are subject to their own specific terms, validity periods, and eligibility criteria published at the time of the offer.
7.2 Offers are non-transferable, cannot be exchanged for cash, and may not be combined with other offers unless expressly permitted.
7.3 HighKnit reserves the right to withdraw, modify, or reverse any offer, benefit, or credit at any time, and to reclaim benefits obtained through misuse, manipulation, or breach of offer terms.
8. Shipping and Delivery
Shipping, delivery timelines, serviceability, and related terms are governed by the Shipping Policy published on the Platform, which forms part of these Terms.
9. Cancellation, Returns, Exchanges, and Refunds
Cancellations, returns, exchanges, and refunds are governed by the Refund and Cancellation Policy published on the Platform, which forms part of these Terms.
10. Intellectual Property
10.1 All content on the Platform, including the “HighKnit” name, logos, trademarks, designs, product images, graphics, text, videos, software, and layout, is the property of HighKnit or its licensors and is protected under applicable intellectual property laws.
10.2 You may not copy, reproduce, distribute, republish, sell, modify, reverse engineer, or create derivative works from any content on the Platform without our prior written consent.
10.3 Nothing in these Terms grants you any licence or right in respect of our intellectual property.
11. User Conduct and Prohibited Uses
You agree not to:
- use the Platform for any unlawful, fraudulent, or unauthorised purpose;
- use another person’s payment instrument or identity without authorisation;
- place speculative, false, or fraudulent orders, or engage in return or refund abuse;
- upload or transmit any content that is defamatory, obscene, infringing, harmful, or otherwise unlawful;
- introduce viruses, malware, bots, scrapers, or other harmful code or automated tools;
- attempt to gain unauthorised access to the Platform, its servers, or any user account;
- interfere with the proper functioning, security, or availability of the Platform; or
- resell products purchased from the Platform without our prior written authorisation.
12. User Content and Reviews
Where you submit reviews, ratings, photographs, testimonials, or other content, you grant HighKnit a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, display, and distribute such content in connection with its business. You represent that such content is your own, is accurate, and does not infringe the rights of any third party. HighKnit reserves the right to moderate, edit, or remove user content at its discretion.
13. Third-Party Links and Services
The Platform may contain links to third-party websites, payment gateways, logistics trackers, or services. HighKnit does not control and is not responsible for the content, policies, or practices of such third parties. Your dealings with third parties are solely between you and such third party.
14. Disclaimer of Warranties
The Platform and all products and services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, HighKnit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. HighKnit does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. Nothing in this clause limits any rights available to consumers under the Consumer Protection Act, 2019.
15. Limitation of Liability
15.1 To the maximum extent permitted by applicable law, HighKnit, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, data, or business opportunity, arising out of or in connection with your use of the Platform.
15.2 HighKnit’s aggregate liability in respect of any claim arising out of or in connection with an order shall not exceed the total amount actually paid by you for that order.
15.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Indemnity
You agree to indemnify, defend, and hold harmless HighKnit, its affiliates, directors, officers, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your violation of any law, or your infringement of any third-party right.
17. Force Majeure
HighKnit shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, riots, strikes, government action or restrictions, failure of telecommunications, internet, banking, or payment gateway systems, courier or logistics disruptions, or power outages.
18. Termination
HighKnit may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for breach of these Terms, suspected fraudulent activity, or where required by law. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law shall survive termination.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to the applicable consumer protection laws, the courts at [City, State] shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Complaints will be acknowledged within forty-eight (48) hours and resolved within thirty (30) days of receipt.
21. Amendments
HighKnit reserves the right to modify these Terms at any time. The revised Terms shall be effective upon posting on the Platform with an updated “Last Updated” date. Your continued use of the Platform constitutes acceptance of the revised Terms.
22. Miscellaneous
22.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
22.2 No Waiver. Failure to enforce any provision shall not constitute a waiver of that or any other provision.
22.3 Assignment. You may not assign your rights under these Terms without our prior written consent. HighKnit may assign its rights and obligations freely.
22.4 Entire Agreement. These Terms, together with the Privacy Policy, Refund and Cancellation Policy, and Shipping Policy, constitute the entire agreement between you and HighKnit in relation to the Platform.
